Terms and Conditions

Legal Entity & Acceptance

These Terms and Conditions (“Terms”) govern access to and use of the Bidezy platform (“Platform”), owned and operated by EpicMind Technologies Private Limited, incorporated under the laws of India.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

Platform Overview

Bidezy is a software-as-a-service (SaaS) healthcare procurement automation platform that enables:

  • Supplier onboarding and verification
  • RFQ creation, bidding, and auctions
  • Annual Rate Contracts (ARC) and approvals
  • PR and PO automation
  • GRN and invoice workflow visibility
  • AI-driven analytics, forecasting, and dashboards
  • Integration with ERP and third-party systems

Bidezy does not process payments or financial settlements on the Platform.

User Categories

The Platform is available exclusively to:

  • Hospitals / Buyers
  • Vendors / Suppliers

Each user category has distinct roles and responsibilities.

User Responsibilities

Hospitals / Buyers

  • Are solely responsible for procurement decisions, approvals, vendor selection, and purchase orders
  • Own all procurement and operational data uploaded to the Platform
  • Are responsible for payment processing and dispute resolution outside the Platform

Vendors / Suppliers

  • Are responsible for the accuracy of quotations, RA bills, invoices, and tax compliance
  • Must execute work strictly against approved Purchase Orders
  • Are responsible for statutory, regulatory, and contractual compliance

RFQs, Bidding & Auctions

  • RFQs and auction bids submitted on the Platform are non-binding
  • All auctions are subject to internal approval by the Buyer
  • No contractual obligation arises until a Purchase Order is issued
  • Bidezy does not guarantee award of business to any Vendor

Contracts, ARC & Purchase Orders

  • ARC and contract workflows are facilitated through the Platform
  • Any contract or ARC becomes effective only upon Buyer approval and PO issuance
  • Bidezy may recommend standard contractual terms; final responsibility rests with Buyers and Vendors

Invoices, RA Bills & Payments

  • Vendors are solely responsible for invoice accuracy and tax compliance
  • Buyers are solely responsible for approvals, payments, and disputes
  • Bidezy does not handle payments, settlements, or escrow services

AI Analytics & Forecasting Disclaimer

  • AI features provide decision-support insights only
  • Forecasts, recommendations, and KPIs are indicative
  • Users remain fully responsible for procurement, inventory, and financial decisions
  • Bidezy does not guarantee accuracy or outcomes of AI-generated insights

Electronic Communications (Email, SMS, WhatsApp)

By using the Platform, users consent to receive system-generated communications via:

  • Email
  • SMS
  • WhatsApp or other messaging platforms

These communications may include:

  • Account notifications
  • RFQs, bids, and auction alerts
  • Approval requests and status updates
  • PO, GRN, and invoice notifications
  • System and security alerts

Such communications are essential for Platform operation and cannot be opted out of while the account remains active.

Users shall not misuse Platform communication features to send unauthorized, misleading, or excessive messages.

Third-Party Systems & Integrations

  • The Platform may integrate with ERP systems, government portals, or external services
  • Bidezy is not liable for failures, inaccuracies, or unavailability of third-party systems
  • Data received from third-party systems is used on an “as-is” basis

Data Ownership

  • Hospitals own their procurement and operational data
  • Vendors own their submitted commercial and compliance data
  • Bidezy owns the Platform architecture, analytics logic, AI models, and derived insights
  • Aggregated and anonymized data may be used to improve the Platform

Termination

Bidezy may suspend or terminate access immediately in cases of:

  • Fraud
  • Misuse of the Platform
  • Non-payment of applicable subscription fees

Limitation of Liability

Bidezy shall not be liable for:

  • Business losses or procurement outcomes
  • Vendor performance or delivery failures
  • Financial disputes between users
  • Third-party system failures

Liability, if any, is limited to fees paid to Bidezy.

Governing Law & Jurisdiction

These Terms are governed by the laws of India.
Courts at Mumbai shall have exclusive jurisdiction.

Amendments

Bidezy may update these Terms periodically. Continued use of the Platform constitutes acceptance of revised Terms.
